  1. Definitions & Interpretation

    1. Agreement / Terms and Conditions:

      The agreement between the Client and Crescendo Craft regarding the use of ads management and Merchant of Record (MOR) services as described in this document (which may be updated from time to time).
    2. Ads / Ads Management

      Refers to the advertising services provided across various digital platforms such as Google Ads, Facebook Ads, Instagram Ads, Twitter Ads, LinkedIn Ads, TikT ok Ads, and others, unless otherwise specified.
    3. Merchant of Record (MOR)

      Crescendo Craft’s role as the legally designated intermediary for payment processing and compliance in each market where the Client operates. This designation involves handling payment transactions, meeting regulatory requirements, and managing Merchant Processing Accounts (MIDs) in the relevant jurisdictions to enable Client operations without local incorporation.
    4. Client / You

      The individual or company utilizing the services of Crescendo Craft.
    5. Crescendo Craft / We / Us

      Crescendo Craft Digital Limited, its affiliates, employees, and partners providing ads management and MOR services.
  2. Engagement of Crescendo Craft

    Crescendo Craft agrees to provide ongoing management of advertising campaigns for the Client across multiple platforms, including but not limited to Facebook, Google, Instagram, LinkedIn, TikT ok, and others as specified in the Agreement.

    Services Provided

    1. Strategic campaign planning

    2. Ad creation (including copy and creatives)

    3. A/B testing and optimization

    4. Retargeting and audience segmentation

    5. Monitoring and reporting (weekly/monthly reports)

    6. Adjustment of ad spend as needed, unless specifically agreed otherwise

  3. Client Obligations

    1. Access to Accounts

      The Client provides Crescendo Craft access to all necessary platforms (e.g., Facebook Business Manager, Google Ads, etc.) for account management purposes.
    2. Budget Adjustments

      Crescendo Craft is authorized to manage and adjust the Client’s ad spend for better performance. Any budget limits must be communicated in writing.
    3. Interference

      The Client agrees not to interfere with live campaigns without prior consultation and approval from Crescendo Craft.
    4. Payment of Platform Fees

      The Client remains responsible for paying all fees charged by the advertising platforms. These fees are separate from Crescendo Craft’s management fees.
  4. Merchant of Record (MOR) Services

    1. Overview of MOR Services

      In addition to advertising management, Crescendo Craft provides Merchant of Record (MOR) services, assuming responsibility for local payment transactions, compliance, and regulatory requirements in each market where we operate on behalf of the Client.
    2. Responsibilities as MOR

      Crescendo Craft acts as the legal intermediary in the Client’s designated markets, managing payment processing, meeting regulatory obligations, and establishing Merchant Processing Accounts (MIDs) as required for seamless local transactions.
    3. Client Acknowledgments and Obligations for MOR Services

      Clients utilizing Crescendo Craft's MOR services agree to supply any documentation needed to meet local compliance standards. Clients authorize Crescendo Craft to conduct payment processing and fulfill regulatory requirements as necessary in the Client’s chosen markets.
    4. Limitations of Liability for MOR Services

      Crescendo Craft will employ best practices for compliance and transaction processing but cannot be held liable for delays due to external factors, such as third-party banking issues or regulatory changes.
  5. Fees, Payments & Considerations

    1. Setup Fees

      Setup fees (if applicable) must be paid before initiating campaign management.
    2. Management Fees

      Fees for ads management will be charged monthly, based on an agreed-upon rate, and are subject to adjustment as necessary due to updates from advertising platforms and tax changes in respective countries.
    3. Due Dates

      Payment of invoices is due on the 20th of each month unless otherwise agreed.
    4. Late Payments

      Crescendo Craft reserves the right to suspend services for late payments and may engage debt collection services for overdue invoices.
  6. Compliance Requirements for MOR Services

    As a Merchant of Record, Crescendo Craft adheres to strict compliance standards to meet regulatory obligations in each market where we operate on behalf of the Client. These compliance requirements include:

    1. Anti-Money Laundering (AML) and Know Your Customer (KYC) Policies

      Crescendo Craft follows AML and KYC policies to verify client identities and ensure all transactions comply with local and international regulations.
    2. Data Protection

      In compliance with applicable data privacy laws (such as GDPR), Crescendo Craft ensures that sensitive information, including client data and transaction records, is stored and processed securely.
    3. Financial Reporting and Tax Compliance

      Crescendo Craft maintains accurate financial records and reports transactions as required by tax authorities in each operational jurisdiction.
    4. Regulatory Compliance Monitoring

      Crescendo Craft monitors regulatory changes in each market to ensure continued compliance, including updates from financial institutions, central banks, and relevant government bodies.
    5. Foreign Exchange (FX) Compliance

      Crescendo Craft works closely with FX providers and seeks appropriate approvals from regulatory bodies, such as the Central Bank of Nigeria, to manage foreign exchange transactions as necessary.
  7. Intellectual Property & Copyright

    1. All assets, such as ads created by Crescendo Craft, remain the intellectual property of Crescendo Craft unless otherwise agreed.

    2. The Client will receive non-exclusive, perpetual usage rights to ad creatives for the duration of the campaign.

    3. Crescendo Craft respects privacy laws and adheres to applicable data protection regulations in each operational jurisdiction.

  8. Performance Disclaimer

    1. Crescendo Craft will use reasonable care to deliver high-quality services. However, we do not guarantee specific results (e.g., conversion rates or profit margins) as online advertising performance is influenced by various uncontrollable factors.

    2. T echnical failures, disruptions, or platform-specific changes are acknowledged risks.

  9. Changes to Services & Termination

    1. Crescendo Craft reserves the right to make necessary changes to services to comply with updates or changes in applicable laws or platforms.

    2. Either party may terminate this Agreement with 30 days’ written notice. If the Client wishes to halt ad campaigns upon termination, the Client must notify Crescendo Craft in writing. Otherwise, campaigns may continue to run, incurring additional platform fees.

  10. Force Majeure

    Crescendo Craft will not be liable for any delay or failure to fulfil its obligations due to events beyond its control (natural disasters, war, internet outages, etc.)

  11. Confidentiality

    Both parties agree to maintain confidentiality regarding any trade secrets, campaign strategies, and other sensitive information exchanged during the term of this Agreement.

  12. Dispute Resolution

    In the event of a dispute, parties will first seek to resolve it through good-faith negotiations. If unresolved, the dispute may be referred to arbitration or mediation in the jurisdiction governing the Client’s location.

  13. Governing Law

    The applicable laws will be determined by the Client's country of operation. However, if services are delivered from the headquarters in Nigeria, Nigerian law shall govern the agreement. In the event of legal proceedings, parties will submit to the non-exclusive jurisdiction of courts in Nigeria or the Client’s operating country, as appropriate.

  14. Severability

    If any provision of this Agreement is found to be unenforceable, the remaining provisions will continue in full force.

  15. Notices

    All notices, including those regarding termination or amendments, must be made in writing and delivered via email to the appropriate contact provided by both parties.

Acceptance
